When to Surrender Your DIN

Steps for Surrendering a DIN

  1. Ensure No Active Directorship:
    • Before surrendering the DIN, ensure that you are not a director in any company. If you hold directorship in any company, you need to first resign from those positions and update the company records with the Registrar of Companies (RoC).
  2. File Form DIR-5:
    • The DIN Surrender process is done through Form DIR-5, which is filed with the Ministry of Corporate Affairs (MCA).
  3. Details to Provide in Form DIR-5:
    • DIN Number: Provide the Director Identification Number (DIN) that you want to surrender.
    • Reason for Surrendering: You must mention the reason for surrendering the DIN (e.g., no longer a director, resignation, etc.).
    • Personal Details: Name, contact details, address, etc.
    • Declaration: A declaration confirming that the DIN is not linked to any active company or that you are not holding any directorial positions in any company at the time of surrender.
  4. Prepare Supporting Documents:
    • Resignation Letter (if applicable): If you’re resigning from directorship, include a copy of the resignation letter(s) submitted to the company(ies).
    • Identity Proof: You may be asked to submit a valid identity proof (such as Aadhar card or Passport) and address proof.
    • No Objection Certificate (if applicable): If required, provide a No Objection Certificate from the company(ies) confirming that the resignation is accepted and there are no outstanding dues.
  5. Submit Form DIR-5 to MCA
  6. RoC Review:
    • The Registrar of Companies (RoC) will review the application. If all requirements are met (including no active directorship or liabilities), the surrender request will be accepted.
    • DIN will be canceled and marked as “surrendered” by RoC in the official records.
  7. Receive Confirmation:
    • Once the application is processed, the MCA will send a confirmation. The DIN will be canceled and no longer valid for use. You will no longer be able to act as a director in any company with that DIN.

Important Considerations

  • Multiple DINs: If you hold multiple DINs, you can surrender the extra ones by filing Form DIR-5 and providing a valid reason for surrender.
  • No Active Directorship: The DIN will not be surrendered if there are any active directorships, pending legal disputes, or obligations.
  • Permanent Cancellation: Once surrendered, the DIN is permanently canceled, and if you wish to become a director again in the future, you will need to apply for a new DIN.
  • Liabilities and Compliance: The surrendering of a DIN does not relieve you of any existing liabilities, responsibilities, or legal obligations related to your past directorships. Ensure all compliance and dues are settled before surrendering your DIN.
